Subject: Sony License Agreement

Dear Carter:

On Friday 7/6, Eliot had a meeting with Doug Chey of Sony, which apparently went very well.  We appear to be in a position to move quickly with his Sony group and perhaps with other groups/divisions at Sony.  It is critically important to Iviewit that we proceed with full speed and do everything we can to finalize deals with Sony ASAP
[needless to say, we still need to wrap up Warner--I'd like to hear your thoughts on their new "term sheet" on Monday].

In preparation for Eliot's Friday meeting, and with you out of the office, I took it upon myself to revise your earlier draft of the Sony license (my revised version is attached).  Following their meeting, we need to add the notion that Sony will pay Iviewit for any encoding services which Sony may request and attach the same rate schedule that
was used for Warner.  Please add this and send Eliot and myself the revised document on Monday.  If you have any questions, please contact Eliot or myself.  Thanks.

Ross
